TERMS OF SALE

These Terms of Sale create a legally binding agreement between you and Treeline Terrains, LLC and its affiliates (which we may refer to as “Treeline,” “we,” “us,” or “our”) regarding orders placed for products and services available on the website operated by Treeline with a homepage located at https://www.treelineterrains.com/ (the “Website”). Treeline may revise these Terms of Sale without notice by posting revised Terms of Sale on its Website. The Terms of Sale posted on the Website at the time you place your order on the Website will govern that purchase. Please read these terms carefully and check that the details of your order are complete and accurate before submitting your order.

PLACING ORDERS ON THE WEBSITE
ELIGIBILITY TO ORDER
To place an order on the Website, you must be of legal age in your country and a consumer – not a reseller.

NO PURCHASE FOR RESALE
The Website is intended solely for Treeline to sell Treeline products direct to end consumers, and therefore purchase of products for resale is strictly prohibited. Purchase for resale means the purchase of Treeline product by someone who resells, or intends to resell, the Treeline product to others (consumers, businesses or any third party). If Treeline believes you are involved in purchase for resale, Treeline reserves the right to take any action against you, including, without limitation, to restrict sales to you, cancel your orders, and/or suspend or close your account.

HOW TO ORDER
We may require an e-mail address from you to place an order, and you may need to set your browser to accept both (functional) cookies and pop-ups in order to be able to use all the functionalities of the Website, which may include designing customized items, adding items to your shopping bag and submitting your order. You shall only provide accurate and complete information to Treeline regarding your order, including but not limited to any payment, shipping, and contact information, and Treeline shall have no liability or responsibility whatsoever for any costs or loss of product or services due to inaccurate or incomplete information.

An agreement for Treeline to sell goods to you is made when we accept your order. The description of goods, price, and applicable tax are agreed on between you and Treeline when an order is placed. You are responsible for the charges for transport, packaging, freight, and/or insurance of your order as reflected in the order summary provided upon checkout.

Placement of an order is a binding agreement. Once placed, all orders are considered final and you may not change or cancel them. Treeline reserves the right to cancel any order for any reason whatsoever, including but not limited to unauthorized, altered, or ineligible use of an offer or payment. Treeline reserves the right to modify or cancel a promotion due to system error or unforeseen problems.

You shall provide current, complete, and accurate information for all information submitted on, to, or through the Website, including but not limited to any information submitted for a purchase. You shall promptly notify us of any changes to any information you previously provided to us, including your email address and credit card numbers and expiration dates.

PAYMENT METHODS
We do not accept any method of payment other than those accepted on the Website during checkout. Please do not try to pay by any other way than specified there. If you do, we will not be liable for loss of the payment or any other damages that may result from this action.

Stripe, Inc. and its affiliates process transactions (including payment transactions) for Treeline in connection with orders placed by you.

TITLE TRANSFER & RISK OF LOSS
The title and risk of loss for products purchased from Treeline pass to you upon our delivery to the carrier, provided that title to product will not transfer until full payment has been received.

SHIPPING & DELIVERY
Every product is made to order from our sustainably-sourced hard/softwood stock. Depending on authorization and verification of payment details, orders should ship within 2-4 weeks, but if we are experiencing a high volume of orders, public holidays, or any unforeseen events, shipments may be delayed. If there will be a significant delay in shipment of your order, we will try to contact you via email or telephone. Any shipping windows provided by us are only estimates and delivery dates cannot be guaranteed. Treeline is not responsible or liable for any customs or taxes applied to your order. EXCEPT AS EXPLICITLY PROVIDED HEREIN, ALL SHIPPING CHARGES ARE NON-REFUNDABLE.

RETURN AND EXCHANGE POLICY
Each piece of wood behaves differently during the creation process. None of our models will look exactly as they do in the picture online—and that’s exactly as we hope it will be. As artists and creators, this uniqueness is what makes our models special.

For all our standard product lines, if there are any defects or damages to your order, please contact [email protected] regarding your return and your reimbursement. In the event your claim is justified, the purchase price and the shipping costs (return shipping method to be selected at Treeline’s discretion) will be refunded.

For custom orders, please contact us and we’ll do our best to find an effective solution to your concerns.

INTELLECTUAL PROPERTY
Treeline does not grant you any licenses, express or implied, to the intellectual property of Treeline or its licensors, except as expressly stated in these Terms of Sale or as contained in a separate agreement between you and Treeline. “Treeline” and all associated logos displayed within the Website or any products sold on it are our trademarks and our copyrighted works (unless otherwise noted).

If you elect to provide or make available to Treeline any suggestions, comments, ideas, improvements or other feedback relating to the Website or any products sold on it (“Suggestions”), you hereby grant Treeline a perpetual, irrevocable, worldwide, royalty-free, fully-paid-up, non-exclusive, sublicensable, transferable right and license to use, reproduce, modify, adapt, create derivative works from, publicly perform, publicly display, distribute, make or have made Suggestions in any form and any medium (whether now known or later developed), without credit or compensation to you.

LIMITATION OF LIABILITY
THE WEBSITE, ITS CONTENT, AND PRODUCTS AND SERVICES ON THE WEBSITE ARE PROVIDED TO YOU STRICTLY ON AN “AS IS” BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT SHALL TREELINE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE WEBSITE, ITS CONTENT OR ANY OF THE PRODUCTS OR SERVICES PURCHASED THROUGH THE WEBSITE, EVEN IF TREELINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TREELINE’S AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO $50. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

EVENTS OUTSIDE OUR CONTROL
An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic, or other natural disaster, or failure of public or private telecommunications networks.

If an Event Outside Our Control takes place that affects the performance of our obligations under these Terms of Sale, our obligations under these general conditions will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control.

OTHER IMPORTANT TERMS
The laws of the State of Vermont, excluding its conflict of law principles, govern these Terms of Sale. Except where prohibited by applicable law, and without limitation to any statutory rights for consumers, you agree that all disputes, claims and legal proceedings directly or indirectly arising out of or relating to these Terms of Sale shall be resolved individually, without resort to any form of class action, and exclusively in the state or federal courts located in Vermont, USA. We may transfer our rights and obligations under a contract to another organization, but this will not affect your rights or our obligations under these Terms of Sale. You may only transfer your rights or your obligations under these Terms of Sale to another person if we agree in writing. Each of the paragraphs of this Terms of Sale operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect. If we fail to insist that you perform any of your obligations under these Terms of Sale, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you. We will not file a copy of the contract between us.
